Article I. Membership
Sec. 1
Classification of Membership within the Ambassadorial Society of America, formed by the
Ambassadorial Society of America, LLC
.

(Members of the Society regardless of their status are only members of the said Society and not a
member of The Ambassadorial Society, LLC, the owning and operating company.)

There are THREE levels of Fellowship: Universe, World, and International.  

Universe Ambassador is the highest level and reserved for those who have been recognized
universally for their philanthropy and ideals, and their contribution to their field.  (For example,
Nobel Prize winner.)

World Ambassador is reserved for those who are able to promote the goals of the Society to other
Nations, travel to other Societies either through their work (e.g., military, Doctor's without Borders,
etc.) or via missions.

International Ambassador is reserved for those in the particularly located in a particular  
Hemisphere or Region or Country (i.e., US Ambassador), who have made an incredible difference
in many people's lives.

Foreign Ambassadors usually fall into the International Ambassador category.

Each Ambassador has the right to petition for a higher level of Fellowship within the Society on a
yearly basis as that Ambassador's roles in their work and projects expands.

Those who do not make the Membership rolls at this time are considered as
Associates or Friends
of the Society
.

Continuation of Membership

Members - continuing to perform their goals and objectives as stated in their submission portfolio
and paying their yearly membership dues.

Honorary Members -- persons nominated by the Governing Body and elected for life by the
Council.

Life Members -- all who have purchased life membership in the Association.

Sec. 2
Dues, Rights, and Privileges.

Only members in good standing of the Ambassadorial Society shall have the right to vote and
hold office.  This includes their continuing projects of community service, good moral character,
and payment of yearly dues.

The dues to be paid shall be as follows:

1. Regular Members 25 USD Per Annum
2. Associate or Friends of the Society 25 USD Per Annum
3. Life Member $250 (one time fee)
4. Honorary Members -- No dues.

Sec. 3
The classification to which any personal member belongs: Honorary, Life, and Regular Members,
shall not be regarded as confidential.

Sec. 4.
Unpaid dues. Members whose dues are unpaid upon the expiration date of their membership year
and who shall continue such delinquency for one month after notice of the same has been sent,
shall be dropped from membership. Lapsed members may be reinstated upon payment of dues for
the current year.  Fellowship and Lifetime Ambassadorial Status may be revoked.

Sec. 5.
Fiscal Year. The fiscal year of the Association shall end December 31. The fiscal year shall
govern all business and activities of the Association except as otherwise provided in the
Constitution and Bylaws.

Sec. 6.
Membership Year. The membership year for the Association and for the divisions shall be twelve
consecutive months, effective the first day of the month following receipt of dues payment.

Sec. 8
The dues schedule shall be reviewed at least every year at the discretion of the
Executive/Governing Body.
Article IV. Council

Sec. 1.
Council membership requirement. No person, including a representative of a state, provincial, or territorial chapter, may serve on the Council unless he or
she is a member in good standing of the Ambassadorial Society of America.

Sec. 2.
Meetings. The Council shall hold at least two meetings each year and when required by the Governing Body.

Sec. 3.
All members of the Ambassadorial Society shall be eligible for nomination to Council and appointed by the Governing Body.

Sec. 4.
Members petitioning to be a Council member may submit their request to the Governing Body directly.

Sec. 5.
All Councilors shall serve for terms of three years or until their successors are selected and qualified or due to the governance of the Governing Body.
Article V. Chapters

Sec. 1
The purpose of a chapter is to promote general philanthropic goals  within its geographic area, to provide geographic representation to the Council of the
Ambassadorial Society of America, and to cooperate in the promotion of general and joint enterprises with the Ambassadorial Society and other groups.

Sec. 2.
The Council may establish a chapter of the Ambassadorial Society in any state, province, territory, or region in which a majority of members residing
within the area involved and voting on the issue favors such action.

Sec. 3.
A regional chapter may consist of any area composed of three or more contiguous states or provinces.

Sec. 4.
No more than one chapter of the Ambassadorial Society shall exist in any state, province, or territory.  In establishing regional chapters, no state,
provincial, or territorial association may be included in more than one such region.

Sec. 5.
A chapter may admit members who are not members of the Ambassadorial Society of America.

Sec. 6.
Each state, provincial, territorial, or regional chapter shall be held responsible in all respect to programs and policies which concern only the area for
which the chapter is responsible and that they are not inconsistent with any programs and policies established by the national Ambassadorial Society of
America. Any chapter may establish committees and boards which parallel national committees and boards in order to carry out over-all programs within
its own area and to maintain liaison between its members and the national committees and boards. State, provincial, and territorial chapters may
establish local chapters within the respective areas involved.

Sec. 7.
Any chapter may withdraw from chapter status provided the issue has been submitted to a vote of the chapter membership and is favored by a majority of
the members voting; and provided further that notice of withdrawal is sent to the Governing Body and the Council.

Sec. 8.
A chapter may be dissolved by the Council and shall be dissolved if it becomes inactive or fails to comply with the provisions of this Article.
Article VI. Governing Board

Sec. 1.
There will be one sole Governing Board.  It is up to the Ambassadorial Society of America, LLC to determine the Governing Board member(s).

Sec. 2.
Should there be a vacancy within the Governing Board, an appointment, the person will serve under the discretion of the Ambassadorial Society of
America. LLC.

Sec. 3.
The Governing Board shall report on its activities not later than the next meeting of the Council. The Governing Board shall act with Council
recommendations in the administration of established policies and programs.
Article VII. Bylaws Amendments and Editorial Changes

Sec. 1.
All proposals for amending the Bylaws shall originate in the Council. A proposed amendment or new bylaw shall become effective when it shall have
been approved by a majority of the members of the Council present and voting at a meeting of the Council, followed by ratification by the members of
the Society either by a vote by mail of a majority of the members of the Society voting, or by a majority vote of the members present and voting at a
membership meeting of the Association. The Council, on approving a proposed amendment, shall specify whether a vote for ratification shall be taken at
a membership meeting of the Association or by mail, and if a mail vote is ordered, the Council shall fix the time for the beginning and closing of the
balloting. If a vote at a membership meeting is ordered, at least one month's written notice shall be given to the Association of the text of the proposed
amendment or new bylaw.
Article VIII. Amendments

Sec. 1.
All proposals for amending the Constitution shall originate in the Council. A proposed amendment shall become effective when it shall have been
approved by a majority of the members of the Council present and voting at two consecutive meetings held not less than two months apart, followed by
ratification by the members of the Society either by a vote by mail of a majority of the members of the Society voting, or by a majority vote of the
members present and voting at a membership meeting of the Association. The Council, on approving a proposed amendment for the second time, shall
specify whether a vote on ratification shall be taken at a membership meeting of the Association or by mail, and if a mail vote is ordered, the Council
shall fix the time for the beginning and closing of the balloting. If a vote at a membership meeting is ordered, at least one month's written notice shall be
given to the Association of the text of the proposed amendment.
Article II. Meetings

Sec. 1
Annual Meetings. There shall be an annual conference of the Society at such place and time as
may be determined by the Governing Body. For all persons attending any meeting or conference
there may be a registration fee as fixed by the Governing Body.

Sec. 2
Special Meetings. Special meetings of the Association may be called by the Governing Body at
any time.  These meetings are not restricted to Council members only.

Sec. 3
Votes by Mail.
Votes may be received via electronic, telephony, and standard means.

Sec. 4.
Two thirds of the voting membership shall constitute a quorum and the majority of those voting
shall be required to carry.

Sec. 5.
The Governing Body shall have authority to set the time limit during which votes will be recorded
but if no such time limit is set no vote shall be counted unless received within 5 days from the day
the text of the ballot or question voted upon was mailed, properly addressed, to those entitled to
vote on the matter involved. In the case of a vote by mail by the Society, the Governing Body
may designate publication of the ballot or question submitted in the official journal of the
Society as the appropriate method of submitting the matter to the members for their
determination.

Sec. 6
Quorum. Two Thirds of members shall constitute a quorum at membership meetings.
Article III. Nominations and Elections

Sec. 1
Prior to each annual conference of the Association (April), the Governing Body, upon
recommendation of the Council, shall appoint a Nominating Committee to nominate candidates
for elective positions such Committee Chairpersons.

Such committee shall also nominate and place on the ballot candidates for a vacancy in the
membership of Council, representing the Society at large as provided in Sec. 1 (c) of this Article,
to complete an unexpired term.
No person may be nominated for or serve on the Council unless that person is a personal member
of the Ambassadorial Society; Candidates are subject to the approval of the Governing Body.

Sec. 2
The Nominating Committee shall report its nominations to the Society not less than three weeks
before the names of the candidates shall be announced.  No person shall be nominated by the
committee whose written consent has not been filed with the Governing Body.

Sec. 3
Votes may be publicly or privately given to the Governing Body and the Council.

Sec. 4
For each office the candidate receiving the largest number of votes shall be elected and shall be
so reported to the Governing Body and Council. In the case of a tie vote the successful candidate
shall be determined by lot conducted by the Governing Body and Council.
Bylaws
Article IX. Waiver and Assumption of Risk

Sec. 1.
By Participating in the Ambassadorial Society of America, the Ambassadors and Nominees agree to the following RELEASE WAIVER and ASSUMPTION
OF RISK:

I, for myself, my heirs, next of kin, personal representatives and assigns, hereby release, waive, discharge, and covenant not to sue the Ambassadorial
Society, its members, successors and assigns, as well as organizers of Ambassadorial Society events or activities. I agree to hold all aforementioned
individuals harmless from all liability, loss, claims, demands, possible causes of action, court costs, attorneys’ fees and other expenses arising from any
lawsuit that may otherwise accrue from any negligence, loss, damage or injury (including death) to my person or property in any way resulting from, or
arising from any Ambassadorial Society event or activity, including travel to and from club events or activities.  I know the risk and danger to myself and
property, both from known risk and unanticipated risk, while participating or assisting in Ambassadorial Society events or activities, and I do so voluntarily
and in reliance, not upon the property, equipment, facilities and existing conditions furnished by others, but upon my own judgment and ability, and I
thereby assume all risk of loss, damage or injury (including death) to myself and my property from any cause whatsoever and whether or not attributable to
the negligence of others.  By undergoing the nomination and review process, and accepting the membership of the Ambassadorial Society, I and my
parents (any minor under 18 years of age)  to both the ASSUMPTION OF RISK and RELEASE AND WAIVER OF LIABILITY clause stated above.

Sec. 2.
By Participating in the Ambassadorial Society of America's Universe, International, and World Ambassador ™ Program and the Ambassadors to the
World™ Program agree to the following RELEASE WAIVER and ASSUMPTION OF RISK:

Article X. Spokespersons
Sec. 1
Classification of Spokespersons within the Ambassadorial Society of America, formed by the Ambassadorial
Society of America, LLC
.

SPOKESPERSON TITLES:

1. Yearly Duration or Unless Unable to Continue with Duties.

2. For the Ambassador to the World title: "Ms. World Ambassador ™", the age of the Fellow over 26 years of age and
NOT married (
**extenuating circumstances may apply -- and someone who does not meet the age criteria or the non-
married criteria, but is of superior caliber may petition for this position.**
)

3. "Youth World Ambassador ™," age of the Fellow must be either under 26 years of age and younger, and NOT married.

4. For the Ambassador to the World title: "Ms. US World Ambassador ™" the age of the Fellow must be 26 years of age
and can be married.

5. For the Ambassador to the World title: "Ms. Universe Ambassador ™," age of the Fellow must be over 26 years of age
and can be married.

6. For the Honorable  "Ms. Ambassador to the World ™" title, Fellow can be married and over 26 years of age or under
17 years of age.

7. For the Ambassador to the World title: "Ms. International Ambassador ™," age of the Fellow must be below 17 years of
age or above 26 years of age, and can be married.

8. These titles are ONLY designated for the Spokesperson(s) appointed and are separate from the Fellow's title within the
Society.

** Ms/Mr are interchangeable. **

An Ambassador of the Society is a Fellow or a Universe, International, and World Ambassador of a Category of Merit (e.
g, UK International Ambassador of Business and Ethics or World Ambassador of the Arts and Sciences.)

Sec. 2
Spokesperson Selection is open to both men and women willing to publicly promote the goals of the Society to the
public at large.  

1. These individuals will be our Official Media Ambassadors and Spokespersons.  

2. Service to others always comes first for each Fellow of the Society; therefore it is not mandatory for every Member or
Fellow of the Society to be a Spokesperson
.  Each of the goals of the Members and Fellows must be met to serve the
community at large.  Those, however, able to also promote the Society and the call to service around the world and in
each country will also be acknowledged.

3. The Spokesperson position is
time intensive and is not mandatory, and should not be taken lightly.  Much is expected
of each Spokesperson.  Failure to meet any of the requirements of a Spokesperson will result in removal of the person
from Spokesperson status, and perhaps, the dismissal of the Spokesperson from the Society.

Sec. 3
CRITERIA:

1. Member in Good Standing of the Ambassadorial Society of America.
2. Fellow of the Ambassadorial Society of America.
3. Able to promote the Society through various forms of media outlets: Radio, Television, Print, etc.
4. Able to travel around the World and the Country.
5. Strong Communication Skills.
6. Experience in Public Relations.
7. Excellent Recommendations.
8. Ability to present Seminars and Classes.
9. Excellent Role Model.
10. Citizen in good standing.
11. Platform is a Global Issue.
12. Knowledge of other cultures and experienced world travel is recommended.
13. Knowledge of other languages is highly valued.  Knowledge of a language other than English is encouraged and
the candidate will be tested.
14. Experienced in Protocol and Etiquette is required.
15. Can cause excitement and interest regarding the Ambassadorial Society of America.
16. Ability to create new opportunities and promotional activities on his/her own, and does not rely solely on his/her
Director for opportunities.
17. When the Director does request that the Spokesperson make certain appearances, the Spokesperson must comply.  
Failure to make appearances requested by the Director will result in removal of the Spokesperson status.
18. Must not have any criminal involvement as a member of the Ambassadorial Society.  
19. Should members find the Spokesperson(s) unfit, the members can lodge an investigation for the removal of the
Spokesperson(s) title and may result in the dismissal of the person from the Ambassadorial Society of America.
20. The Spokesperson(s) can be removed at anytime with 2/3 of the votes of the Governing Body.
21. Spokesperson(s) cannot be involved in the disparagement of other members.
22. The Spokesperson will report solely to the Director with information regarding their actions and upcoming events.
23. Spokesperson(s) will NOT discuss any internal issues within the Ambassadorial Society of America with the public or
with the Society's business partners.
24. Inability to fulfill their duties, Spokespersons will be removed from Spokesperson status.

Sec. 4
Titles Restriction

THESE TITLES FOR OUR SPOKESPERSON(S):

WORLD AMBASSADOR ™,
US WORLD AMBASSADOR ™,
UNIVERSE AMBASSADOR ™,
INTERNATIONAL AMBASSADOR ™,
YOUTH WORLD AMBASSADOR ™,
AND AMBASSADOR TO THE WORLD ™,

HAVE NO AFFILIATION WITH ANY OTHER FORM OF COMPETITION, SELECTION, JOB POST, EMPLOYMENT, OR
SYSTEM OTHER THAN THE AMBASSADORIAL SOCIETY OF AMERICA AND ITS PARENT COMPANY, THE
AMBASSADORIAL SOCIETY OF AMERICA, LLC.

Sec. 5
The Ambassadorial Society of America's Spokesperson Competition is
not a traditional beauty pageant.  The
selection process is akin to a diplomatic job interview for members already part of the Ambassadorial Society of
America.

Sec. 6
Recognition Within the Society

1. The Ambassadors to the World® Program selects highly qualified Fellows from those currently in good standing within
the Society, who are able to continually promote the Society in the glaring eyes of the media: press, television, radio,
and print, in addition to their daily duties to their family, friends, business, and community.  

2. These specialized Fellows are rigorously reviewed in terms of their communication (written and verbal) skills,
diplomacy, etiquette, understanding of other cultures, willingness to learn about others, comfort with making many
appearances, ability to teach seminars and lecture about their global community service platform, and their ability to
create opportunities for themselves in the public relations spotlight.  Candidates are impeccable Hosts and are talented
individuals, and should be able to converse on numerous wide-ranging and diverse topics.  As such, these Fellows must
be familiar with public relations and possess the ability to create excitement over the goals of the Ambassadorial
Society of America and their own on-going community service projects.

3. These Ambassadorial Spokespersons will be travelling throughout the World and are the face of all the Universe,
International, and World Ambassador® Award winners.  Many Fellows are currently busy with their particular community
projects and commitment to their fields.
 This makes Ambassadorial Spokesperson(s) necessary.

4. The Ambassadors to the World® Program is NOT a traditional beauty pageant.  
This is a job interview for Ambassadors
already part of the Ambassadorial Society of America.

5. Any Fellow (male or female) may apply.

6. These Titles are for use only within the confines of the Ambassadorial Society of America membership.

7. Spokespersons are chosen from current Fellows of the Ambassadorial Society of America.

8. Other members are addressed as the following: World Ambassador of the Arts and Sciences, Universe Ambassador of
Medicine, etc. or simply addressed as a Fellow of the Ambassadorial Society of America. Spokespersons out in the
community have "Ambassador" written on either the upper left hand corner of their banner or at the end of the banner.

9. Titles within the Ambassador to World Program of the Ambassadorial Society are for usage of the Ambassadorial
Society members ONLY. The Ambassadorial Society is not affiliated with any pageant, business, fellowship, or other
society.

Sec. 7 REMOVAL

1. Removal in all instances:

A. Lack of communication (at least once a week) with the Director will result in termination of Spokesperson from their
Spokesperson status and their membership to the Society.

B. Lack of respect to Director, Members, or Affiliates

C. Any Violation of ByLaws, Constitution, Copyright Information, and Terms and Conditions set forth by the
Ambassadorial Society.

2. Spokesperson will return all prizes, banners, medals, and any accoutrement provided by the Ambassadorial Society of
America.

3. Should the Spokesperson be unable to return all items provided to them by the Ambassadorial Society, the individual
(former Spokesperson and Fellow of the Society) will provide monetary compensation to be set by the Ambassadorial
Society of America.

4. The Individual waives all rights in the Removal Process.

5. All Spokesperson(s) agree to adhere strictly to the Ambassadorial Society of America ByLaws and Constitution.

6. No relief (in any manner) will be provided to the former Spokesperson(s).

7. The Director has the right to terminate a Spokesperson at will.

8. The Venue for ANY dispute will be determined by the Ambassadorial Society of America, NOT the Former
Member, and will default to the Courts in Central Florida.

9. "Morals" - this permits the termination of the position as an official spokesperson for any behavior that, in the opinion
of the Director of the Society, does not reflect properly upon the Society.  

10. By Virtue of Participation in the Ambassadorial Society and its Spokesperson(s) program, the individual agrees to all
of the above and the Society's ByLaws and Constitution.
