Article I. Name
Sec. 1.
The name of this body shall be the The Ambassadorial Society of America. The Ambassadorial
Society of America is non religious, nonsectarian, and nonpartisan group. The Ambassadorial
Society of America is owned and operated by The Ambassadorial Society of America, LLC.
Article VIII. Committees
Sec. 1
Establishment of Committees.
In order to carry out the business of the Society, the Governing Body, upon recommendation of
the Council, shall establish standing committees and special committees. Standing committees
may be formed by members of the Society and its Council.
Sec. 2.
The Committee shall recommend to Council a name, size, composition, and person in charge of
each committee.
Sec. 3.
Standing Committees.
Committees of the Ambassadorial Society of America.
Each Committee can vote as to whom shall serve as chairperson, to advise the Council and
Governing Body on ideas and suggestions and comments put forth by the committee.
Sec. 4.
Unless otherwise recommended by the Council, members of standing committees shall be
appointed for terms of two years, and may be reappointed for a second but not a third
consecutive term; but in no case shall a person serve on a committee for more than four
consecutive years. Appointments shall be made in such manner as to provide continuity in
membership. (Petitions for the Replacement of Committee Chairpersons will also be reviewed by
the Governing Body and Council regardless of the term being served by that Committee
Chairperson.)
Sec. 5.

Sec. 6.
Membership of the committees of the Council may consist of both Councilors and non-Councilors.
Sec. 7.
Subcommittees of the committees of the Council shall exist at the will of each Council
Committee.
Sec. 8.
Joint Committees.
The Council, on the recommendation of the Committee on Organization, may establish joint
committees, either standing or special, with other organizations when the functions of the
proposed committee cannot be appropriately delegated to a single committee. Joint committees
of the divisions or round tables with organizations outside the Association may be established
only with the approval of the Council and upon the recommendation of the Committee on
Organization.
Sec. 9
Votes in the Governing Body, Council, as well as in committees, may be taken by mail,
electronic system, or conference call, provided that all members are canvassed simultaneously.
An affirmative vote from two-thirds of the full body shall be required. Each committee shall have
the authority to set a time limit within which the votes of its members shall be recorded, but if no
such time limit is set no vote shall be counted unless received within 5 days from the day the text
of the matter voted upon was mailed properly addressed to those entitled to vote on the matter
involved.
Sec. 10
No committee shall incur expense on behalf of the Ambassadorial Society except as authorized,
nor shall any committee commit the Ambassadorial Society by any declaration of policy.
Article II. Object
Sec. 1.
The object of the Ambassadorial Society of America is founded on the premise that there are
individuals all around us who are every day heroes. In fact, these unsung heroes are the
backbone of our Society. They are not unlike a neighbor, a family member, or just someone
who cares. These individuals pursue the very best in their field whether it be Business,
Education, Health, and the Arts. They support others in their fields, encouragingly, financially,
and emotionally to do their very best, contributing their own hearts and souls as well to that
discipline. They also seek to help those in other fields with the same fervor as in their own.
Article III. Membership
Sec. 1.
Members.
The Society is formed by its alumni recipients who wish to further "giving back" as a way of life.
Membership is provided via nomination and invitation only. Nominations and Membership will
be reviewed only once a year by a Membership Committee appointed by the governing body.
Members are part of the Society formed by The Ambassadorial Society of America, LLC
and NOT a member of the said business.
Only Exceptional Nominees may be reviewed outside the annual cycle and must be
nominated by full members.
Sec. 2.
Maintaining Membership
Any person wishing to maintain their lifetime membership must pay his or her payment of the
dues provided for in the Bylaws. The Governing Body may suspend a member for cause after
hearing by a two-thirds vote of the members of the Executive Board and may reinstate a
member by a two-thirds vote of the members of the Governing Body.
Article IV. Divisions and Round Tables
Sec. 1.
Divisions and Round Tables of the Society may be organized and supported as provided in
the Bylaws.
Article V. Meetings
Sec. 1.
Meetings shall be held as provided for in the Bylaws.
Article VI. Council of the Governing Body
Sec. 1.
Council of the shall be appointed by the Governing Body of the Ambassadorial Society of
America and shall act on the behalf and advise the Governing Body.
Sec. 2.
The Council are not paid employees of the Governing Body. The Council is the working arm
of the Governing Body.
Sec. 3.
The Council shall delegate to the several divisions of the Society authority to plan and carry
out programs and activities within assigned fields of responsibility and in accord with general
Council policy.
Sec. 4.
The Council shall advise the Governing Body on all policies of the Association, and its
decisions shall be binding upon the Association, except as provided in Sec. 4 (c) of this
Article.
Sec. 5.
Seventy-five voting members of the Council shall constitute a quorum.
Sec. 6.
The Society by a vote at a membership meeting may refer any matter to the Council with
recommendations and may require the Council to report on such matter at any specified
session of the Association.
Sec. 7.
Any question of policy may, by a majority vote of the Council, be submitted to the Society to
be voted upon either at a membership meeting or by mail as the Council may determine.
Sec. 8.
Any action of the Council may be set aside by a majority vote by mail in which one-fourth of
the members of the Society have voted. Such vote by mail shall be held upon petition of one
percent of the personal members as certified by the Executive Director/Governing Body..
Article IX. Finances
Sec. 1
Except for projects supported by funds to the Ambassadorial Society, annual estimates of
income shall be based upon the unexpended balance remaining from the previous year plus
anticipated revenues for the next budget year. In no case may expenditures be budgeted in
excess of the estimates of income arrived at in this manner except for projects supported by
grants to or by the Society. The annual estimates of income and budget objectives for each
year are to be submitted to Council for approval.
Sec. 2
An audit of all accounts shall be made annually by a commercial auditor at the discretion of
the Governing Body or The Ambassadorial Society, LLC.
Sec. 3
A report shall be made annually to the membership, by a duly authorized member of the
Executive Body, detailing receipts and expenditures, explaining the Association's fiscal status,
and reporting on the audit at the discretion of the Governing Body and The Ambassadorial
Society of America, LLC.
Article VII. Round Tables
Sec. 1
The Council may establish round tables under the following conditions:
The Council may authorize the organization as a round table of any group of not less than
25 members of the Association who are interested in the same field or goals, upon petition of
such group which shall include a statement of purpose.
Sec. 2.
The Council may discontinue a round table when, in the opinion of the Council, the
usefulness of that round table has ceased.
Sec. 3.
No round table shall incur expense on behalf of the Ambassadorial Society of America
except as authorized, nor shall any round table commit the Ambassadorial Society of
America by any declaration of policy.
Sec. 4.
Round tables may limit their membership, and may, subject to approval of the Governing
Body, issue publications.
Sec. 5.
All round table funds are to be in the custody of the Governing Body, to be accounted for
and disbursed by its designated officer on authorization of the round table officers.
Sec. 6
A round table may affiliate with itself regional, state, or local groups interested in the same
field of goals and ideology. Such groups are not considered members of the Society.

Article X. Notices by Mail
Sec. 1
Publication of notices in the Ambassadorial Society Gazette shall be considered sufficient to
fulfill the requirement of notice by mail.

Article XII. Removal/Censure of General Member
Sec. 1
Removal or Censure of a Member must have just cause.
Sec. 2
Evidence must be investigated by the Governing Body with termination only after
examination of just cause.
Sec. 3
Promotion of One's Self will NOT be tolerated by the Society.
Sec. 4
Each member may appear in all forms of media, but with the intent to promote charitable
organizations, sponsors, raising funds, and the Society.
Sec. 5
Those who choose the spotlight for themselves with purely selfish motives will be censured
or removed from membership.
Sec. 6
All members must act with proper decorum and reflect the Society in a good light.
Sec. 7
Individuals who disparage or defame the Society and any of its members will be NOT be
considered for membership.
Sec. 8
Individuals who imply negative remarks regarding the Society and any of its members will
NOT be considered for membership.
Sec. 9
Individuals who attack the integrity or harm any members in any way will NOT be
considered for membership.
Sec. 10
All members attending events must dress accordingly for that event.
Sec. 11
Members are responsible for editing their behavior accordingly in public.
Sec. 12
The Society will NOT tolerate illegal drug use or criminal actions among its members.
Sec. 13
Members found guilty of crimes by State or Federal Law Enforcement will be terminated
from the Society.
Sec. 14
Use of profanity or intoxication in a public setting will NOT be tolerated.
Sec. 15
No member is allowed to discuss other members to the public.
Sec. 16
Any actions that impugn the reputation of the Society will NOT be tolerated and will result
in subsequent dismissal of the member.
Sec. 17
Member who cause harm to others (e.g., humans, animals, environment, ecosystem, et al.)
will be reprimanded or terminated from Membership.
Sec. 18
Those unfit to become a member of the Society will be listed. No one on this list will be
nominated or returned to active membership.
Sec. 19
Termination of membership will require 2/3 of the Governing Body's votes.
Sec. 20
Should the member(s) actions be so egregious, termination will occur immediately without
the just cause process.
Sec. 21
Should a member be terminated, privileges will be revoked and all items received from the
Ambassadorial Society of America will be returned.
Sec. 22
Participation in the Ambassadorial Society of America shows that the Member has agreed to
all the Sections listed under the Constitution.
Sec. 23
Participation in the Ambassadorial Society of America shows that the Member understands
all the information listed in Constitution.
Sec. 24
Participation in the Ambassadorial Society of America shows that the Member will abide by
all rules and regulations set forth by the Society.
Sec. 25
Members are required to find and nominate unsung heroes in the community. Should the
member be unable to nominate or promote the goals of the Society, his or her membership
will be revoked.
Sec. 26
Harassment of other members will NOT be tolerated. Violations must be reported
immediately to the governing body.
Sec. 27
All members who impugn the Society in the public arena must be dismissed
Sec. 28
Members who deliberately embarrass or defame other members will be dismissed
Sec. 29
A member who damages a business relationship between another business entity will be
dismissed immediately
Sec. 30
A member who destroys a business relationship between the Ambassadorial Society and
other entity are subject to a fine and or lawsuit. That member is required to pay for all
damages and expenses.
Sec. 31
Spokesperson(s) must adhere to all Constitution and ByLaws Regulations.
Sec. 32
All Spokesperson(s) breaking any rules stated in the Constitution and ByLaws will be removed
from their Spokesperson status and Membership from the Society.
Sec. 33
All Removed Members by virtue of participating in the Ambassadorial Society of America
will provide restitution (as defined by the Ambassadorial Society of America) to the Society
based on an amount or items designated by the Ambassadorial Society.
Sec. 34
The Venue for ANY dispute will be determined by the Ambassadorial Society of America,
NOT the Former Member, and will default to the Courts in Central Florida.
Sec. 35
"Morals" - this permits the termination of the position as an official spokesperson for any
behavior that, in the opinion of the Director of the Society, does not reflect properly upon
the Society.
Article XI. Code of Conduct
Sec. 1
Commitment to ethical and professional conduct is expected of every
member (voting members, associate members, and foreign members) of
the Society.
Sec. 2
Adhere to the Golden Rule.
Sec. 3
Contribute to society and human well-being.
Sec. 4
Adhere to the principle concerning the quality of life of all people
affirming an obligation to protect fundamental human rights and to respect
the diversity of all cultures.
Sec. 5
Minimize negative consequences of actions, including threats to health
and safety.
Sec. 6
Members will be socially responsible, will meet social needs, and will
avoid harmful effects to health and welfare.
Sec. 7
Avoid harm to others.
Sec. 8
Be honest and trustworthy.
Sec. 9
Be fair and take action not to discriminate.
Sec. 10
Adhere to the values of equality, tolerance, respect for others, and the
principles of equal justice govern this Society.
Sec. 11
Discrimination on the basis of race, sex, religion, age, disability, national
origin, or other such factors is an explicit violation of Society policy and
will not be tolerated.
Sec. 12
Honor property rights including trademarks, copyrights and patents.
Sec. 13
Give proper credit for intellectual property.
Sec. 14
Respect the privacy of others.
Sec. 15
Honor confidentiality.
Sec. 16
Strive to achieve the highest quality, effectiveness and dignity in both the
process and products of professional and public works.
Sec. 17
Strive for Excellence
Sec. 18
Continue to acquire and maintain professional competence.
Sec. 19
Know and respect existing laws pertaining to professional and public works.
Sec. 20
Accept and provide appropriate professional reviews.
Sec. 21
Honor contracts, agreements, and assigned responsibilities.
Sec. 22
Articulate social responsibilities of members of an organizational unit and
encourage full acceptance of those responsibilities.
Sec. 23
Acknowledge and support proper and authorized uses of the Society's
resources.
Sec. 24
Articulate and support policies that protect the dignity of others.
Sec .25
Uphold and promote the principles of this Code.
Sec. 26
Treat violations of this code as inconsistent with membership in the
Ambassadorial Society.
Sec. 27
Adherence of members to this code of ethics is not voluntary. If a member
does not follow this code by engaging in gross misconduct, membership
will be terminated.
